Kosmos Stargazing Resort and Spa Terms & Conditions

1. Booking terms

  • By making a reservation at Kosmos Stargazing Resort & Spa (“Kosmos,” “we,” “us”), guests agree to these Terms & Conditions and all posted policies.
  • A reservation is confirmed only after required payment is received and a confirmation email is issued.
  • Nightly rates, taxes, and fees are subject to change and are not guaranteed until a reservation is confirmed.

2. Payments and rates

  • Full payment is required at the time of booking unless otherwise stated in the rate details.
  • Rates may vary by season, day of week, and availability; special offers and promotional rates may carry additional or more restrictive conditions that will be disclosed at booking.
  • All charges are in U.S. dollars and are subject to applicable federal, state, and local taxes and fees.

3. Cancellation and rescheduling policy

3.1 No refunds after 48 hours; resort credit only

  • Within 48 hours of booking, you may cancel your reservation free of charge.
  • After 48 hours, you may reschedule your booking, but no cash refunds are issued. In this case, you will receive a resort credit equal to the amount paid at the time of booking.
  • Resort credits:
    • are not redeemable for cash,
    • may be applied toward a future stay or eligible add-on experience, subject to availability and prevailing rates, and
    • may be transferable to another guest if the original guest provides written authorization before the new stay.

3.2 Rescheduling policy

  • Guests may reschedule their reservation once, up to 60 days before the scheduled check-in date.
  • When rescheduling, any difference in price due to seasonal rate changes, changes in length of stay, villa type, or package content must be paid at the time of rescheduling.
  • The original payment will be applied as a credit toward the new booking; if the new booking is lower in price, the remaining balance will remain as a resort credit for future use.
  • Within 60 days of arrival, reservations are not eligible for rescheduling. Any changes made inside this window may be treated as a cancellation under the no-refund policy.
  • In certain cases, we may be able to accommodate last-minute rescheduling requests — for this, please email us at support@kosmosresort.com.

3.3 No-show policy

  • A “no-show” means the guest does not arrive on the check-in date and has not contacted the resort in advance to cancel or reschedule in accordance with these terms.
  • No-shows forfeit their stay; no refunds or additional resort credits will be issued.

4. Resort-initiated changes, overbooking, and force majeure

4.1 Operational changes

  • Kosmos may modify, relocate, or substitute accommodations or experiences when necessary for operational, safety, or maintenance reasons.
  • If the reserved unit is unavailable, Kosmos will make reasonable efforts to provide comparable or upgraded accommodation at no additional cost.
  • If no such alternative accommodation can be found, Kosmos reserves the right to reschedule a guest’s visit up to 365 days, or refund the entire booking amount.

4.2 Resort cancellations and closures

  • In the rare event the resort must cancel a reservation in full (for example, due to safety concerns, government orders, emergency maintenance needs, or events beyond the resort’s reasonable control), guests will receive either:
    • a full resort credit for a future stay, or
    • alternate dates of stay, subject to availability.
  • Kosmos is not responsible for incidental or consequential costs (such as transportation, third-party bookings, or lost vacation time) related to any such cancellation.

4.3 Force majeure

  • Kosmos is not liable for delays or cancellations caused by events beyond its reasonable control, including but not limited to extreme weather, wildfires, utility interruptions, natural disasters, government actions, or acts of God.
  • In such cases, Kosmos may, at its discretion, offer credits or rebooking options as a gesture of goodwill, but is not obligated to issue refunds unless the delay or cancellation is caused by a utility or service interruption or major maintenance needs that are controllable by Kosmos.

5. Crowdfunding, early-access offers, and special products

  • Contributions or purchases made through crowdfunding platforms, early-access campaigns, or similar programs may be subject to separate terms disclosed on those platforms.
  • Unless explicitly stated otherwise in those campaign terms, such contributions are non-refundable and are treated as support for the project, not as traditional room reservations.
  • Perks associated with such contributions (for example, discounted stays or exclusive experiences) may be subject to blackout dates, capacity limits, and advance-booking requirements.

6. House rules and use of property

6.1 Check-in and check-out

  • Standard check-in and check-out times will be stated in the confirmation email; early check-in and late check-out are subject to availability and may incur additional charges.
  • A valid government-issued photo ID and a credit card in the name of the primary guest are required before arrival at the property — we will request an upload of such documents through our booking platform.

6.2 Occupancy and conduct

  • Maximum occupancy limits per villa or unit must be respected; additional guests may result in additional fees or denial of service.
  • Guests agree to use all facilities, including jacuzzis, telescopes, and off-grid amenities, in a safe and responsible manner and according to any posted or written instructions.
  • Kosmos reserves the right to refuse service or ask guests to leave, without refund, in cases of disruptive, unsafe, illegal, or abusive behavior.
  • We ask all guests to respect our quiet hours (9PM to 8AM) and reserve the right to ask guests that cause disruption of such hours to leave.

6.3 Off-grid, water, and wildlife

  • Guests acknowledge that Kosmos operates in an off-grid, rural environment and accept the inherent risks associated with wildlife, weather, and terrain.
  • Guests agree to follow all water-use and wildlife guidelines provided by the resort (including guidelines regarding food storage, lighting, and interaction with wildlife).

7. Damage, security deposits, and personal property

  • Guests are responsible for any damage, loss, or excessive cleaning required as a result of their stay, beyond normal wear and tear.
  • This specifically applies to our telescopes and other astronomical devices as well as all electronic devices.
  • Kosmos may charge the credit card on file or apply any security deposit to cover such costs.
  • The resort is not responsible for loss, theft, or damage to personal property left in rooms, vehicles, or common areas, except as required by applicable law.

8. Experiences, weather, and third-party services

  • Stargazing and outdoor experiences are weather-dependent and cannot be guaranteed. Cloud cover, wind, or other conditions may limit visibility or require modification of activities.
  • Cancellations or modifications of experiences due to weather do not entitle guests to refunds; Kosmos may, subject to availability, offer alternative activities, rescheduling, or resort credit at its discretion.
  • Kosmos is not liable for the performance or non-performance of any independent third-party providers, such as transport operators or off-site tour companies.

9. Liability and indemnification

  • To the maximum extent permitted by law, Kosmos, its owners, and staff are not liable for injury, loss, or damage arising from guest use of the property, facilities, or activities, except where caused by the resort’s gross negligence or willful misconduct.
  • Guests agree to indemnify and hold Kosmos harmless from claims, damages, or expenses arising from their own actions, omissions, or violations of these Terms & Conditions.

10. Privacy and communications

  • By booking with Kosmos, guests consent to receive transactional communications related to their stay (such as confirmations, pre-arrival information, and post-stay follow-ups).
  • Guests may separately opt in to marketing communications and may unsubscribe at any time; unsubscribing from marketing does not affect essential service communications.
  • Personal information is handled in accordance with Kosmos’s Privacy Policy, which is incorporated by reference into these Terms & Conditions.

11. Governing law and disputes

  • These Terms & Conditions are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles.
  • Any dispute arising out of or relating to a stay at Kosmos or use of the resort’s services will, where permitted by law, be resolved in the state or federal courts located in Colorado.

12. Changes to these terms

  • Kosmos may update these Terms & Conditions from time to time.
  • The version in effect at the time of booking will govern that reservation, while continued use of the website or future bookings after changes are posted will constitute acceptance of the updated terms.
